SLOWDOWWWN MEMBERSHIP TERMS & CONDITIONS

A living agreement between you and the space you help shape.

1. Membership Tiers & Pricing

Early Bird Membership (First 50 Only)

Monthly Fee: $30/month (locked in for life). This rate only applies to the first 50 subscribed members who sign up.
Initial Payment: $90 (covers first 3 months upfront)
Delayed Start: If you sign up before launch day, your $90 is charged up front, but your subscription doesn’t begin until 3 months after launch/opening of storefront.
Non-refundable: The $90 upfront payment is non-refundable.
Non-transferable: Memberships are tied to your name and identity. No swapping, selling, or gifting.

Change in Terms Due to Extraordinary Events: While we strive to honor lifetime pricing, Slowdowwwn reserves the right to modify membership terms, including pricing, in the event of extraordinary circumstances outside of our control (example: significant economic shifts, regulatory changes, sale or closure of the business). Members will be given 60 days' notice of any such changes.

Standard Membership

Monthly Fee: $50/month. This rate is applied after first 50 subscribed members sign up.
Initial Payment: $150 (first 3 months upfront)
Delayed Start: Same as Early Bird—pay now, regular payments of subscription begin 3 months post-launch/opening of storefront.
Non-refundable: The $150 upfront payment is non-refundable.
Non-transferable: Same rule applies.

2. Member Perks

Active membership includes:

Free bottomless drip coffee or tea (one cup at a time, per visit, per day)
5% off all products and services
Discounted and free Slowdowwwn programming events(speaker series, film nights, community events)
Voting rights on the Slowdowwwn Fund allocations (see Section 5)
Member only e-Newsletter
Annual Member convenening

3. Billing & Cancellation

Memberships renew automatically each month after the initial 3-month commitment.
Cancel anytime after your initial 3 months via written notice (email or member portal).
Membership remains active through your final paid billing cycle.
No partial refunds for cancellations made mid-month.
Early Bird members retain their $30/month rate as long as they stay subscribed without interruption. Interruption defined as 2 months or more of failure to pay member fees.

4. Community Conduct

Zero tolerance for discrimination, harassment, intimidation, or abuse of any kind.
Violations may result in immediate membership termination without notice or refund.
Membership expectations & review process: Members are expected to uphold the values and standards of Slowdowwwn. Public misrepresentation of affiliation or status (example, claiming to be a co-owner) or other breaches of conduct may trigger a review process. Reviews will be conducted by a designated committee, and Slowdowwwn reserves the right to suspend or terminate membership based on findings, without refund.

5. Membership Values & Standards

At Slowdowwwn, members are expected to uphold the following values:

Belonging with intention: Welcome others as they are. Respect differences. Create space for connection.
Rest as reclamation: Honor rest, stillness, and slowing down — for yourself and others.
Freedom as play: Encourage creativity, laughter, and self-expression without judgment.
Cultivating hope, together: Act with care, build community, and contribute to collective growth.
Integrity and respect: Represent your membership honestly. Treat the space, members, and community with respect.

6. The Slowdowwwn Fund: Community Reinvestment Fund

How It Works

Starting in Year 2, Slowdowwwn will allocate 5% of annual net revenue into the Community Reinvestment Fund.
Eligible Members: Must have at least 12 consecutive months of membership to vote on fund use.
Voting happens annually and includes pre-qualified categories such as:
- Space improvements
- Mutual aid or emergency member or community support
- Artist or entrepreneur stipends
- Community-led events or workshops

Legal Protections & Boundaries

Advisory Only: Voting is non-binding. Final fund allocations will be made by the Slowdowwwn Board or appointed committee.
No Equity or Ownership: Participation in the Community Reinvestment Fund does not confer business ownership, profit rights, or legal stakes.
Transparent Reporting: Fund allocations will be shared annually via a public Impact & Financial Report.
Liability Limits: Members are not liable for how the Fund is spent, nor can they hold Slowdowwwn responsible for unmet personal expectations.

7. Data Privacy & Security

Personal data is stored securely and never sold.
Payment details are handled via secure third-party platforms.

8. Ownership & Legal Structure

Slowdowwwn is a registered LLC in the state of Virginia.
Membership does not entitle you to ownership, shares, or decision-making authority in the business.
Changes in legal structure or ownership do not impact your locked-in membership tier unless explicitly stated.

9. Dispute Resolution

Governed under Virginia state law, with legal venue in Richmond, VA.
All parties agree to pursue mediation in good faith before legal action.

10. Terms Updates

Terms may evolve as Slowdowwwn grows. Changes impacting material rights and membership status, expectations, or duties will be communicated at least 30 days prior to these changes taking effect.
Continued membership use constitutes acceptance of updated terms.

11. Final Consent

By checking the box and completing your membership registration, you agree to:

The non-equity status of membership

Slowdowwwn membership is a shared agreement built on trust, respect, and collective care. By completing your registration, you honor these Terms & Conditions, the community we are co-creating, and the values we hold. Slowdowwwn reserves the right to update these terms as we grow, always with transparency and intention.
